My understanding of the purpose of VNE, is that it is to prevent subjecting the airframe to excessive loads (or from becoming uncontrollable). At higher altitudes there is less air mass acting on the airframe and therefore less force. IAS is a pretty good indicator of the amount of force acting on the airframe.
